Terms and Conditions
It is important that you understand our Terms and Conditions before and during the use of any SaneChoice service. For complete transparency, we outline these Terms below.
SANECHOICE LIMITED
SaneChoice Limited, 3 The Drive, Jubilee House, Great Warley, Brentwood, Essex, CM13 3FR.
SaneChoice Limited is hereafter referred to as "SaneChoice".
By using any of our Services and solutions, you are indicating your acceptance and bound by these Terms and Conditions.
DEFINITIONS
“Service” or “Services” means any Service, Solution or Consultancy being provided by SaneChoice.
"Customer" means the buyer of any SaneChoice Service, Solution or Consultancy.
“Business Day” or “Business Hours” means 9:00 a.m. – 5:00 p.m. Monday through Friday, excluding public holidays in the United Kingdom.
TERMS OF SERVICE
SaneChoice provides IT Solutions and Consultancy using Internet based or digital technology.
SaneChoice reserves the right to suspend or cancel any or all Services provided by SaneChoice when SaneChoice decides that the service has been inappropriately used or otherwise. We reserve the right at any time to access, amend, remove or delete any or all data stored on Services without your prior consent. Upon termination of any SaneChoice Services, any data (including web pages, etc.) will be deleted. We reserve the right to terminate our Services any time without notice.
To protect your privacy we never distribute your name or e-mail address to any third parties, unless instructed to do so by order of a Court.
PROMISES WE DO NOT MAKE
We do not promise that the Services will be uninterrupted, error-free, or completely secure. You acknowledge that there are risks inherent in Internet connectivity that could result in the loss of your privacy, Confidential Information and property.
Certain Services are designed to help you comply with various regulatory requirements that may be applicable to you. However, you are responsible for understanding the regulatory requirements applicable to your business and for selecting and using those Services in a manner that complies with the applicable requirements.
You are solely responsible for the suitability of the Services chosen. Any services that we are not contractually obligated to provide but that we may perform for you at your request and without any additional charge are provided on an ‘AS IS’ basis.
OWNERSHIP OF DATA
All data created or stored by you within applications and servers are your property. SaneChoice make no claim of ownership of any web server content, email content, or any other type of data contained within the server space or within applications on servers.
Unless you have a managed service with SaneChoice, you are responsible for backing up and care of your data. We accept no responsibility for losses incurred due to unavailability of services or loss of data whether Customer or SaneChoice derived.
SUPPORT
Unless specified in individual Service agreements or a premium support package has been purchased, SaneChoice offer email and telephone support on all their services from 09:00 to 17:00 Monday to Friday excluding Bank Holidays.
We will provide Support only to an administrative or technical contact listed on your account. We will not provide support directly to your end users unless specifically agreed in writing.
PAYMENT POLICIES
All Services are set up on a prepay basis or on 10 days credit. Although SaneChoice reserves the right to change prices of Services or solutions at any time, all pricing is guaranteed for the period of payment. Payment is due each anniversary year or month following the date the service or solution was purchased. Customers will automatically be invoiced 10 days before the end of their period unless closure notification has already been given.
In situations where payment has not been received by the due date specified within the invoice, SaneChoice will immediately suspend supplied Services until the outstanding amount has been processed successfully. In addition, SaneChoice reserves the right to suspend other Services until the outstanding debt is cleared. The customer is responsible for all money owed on the account from the time it was established to the time that the customer sends a written cancellation request.
If there is a dispute with respect to any portion of an invoice, you shall pay the undisputed portion of the fees promptly and provide written details specifying the basis of any dispute with 5 business days. SaneChoice and the Customer agree to work together to quickly resolve any disputes.
All payments are in UK sterling.
PAYMENT OPTIONS
SaneChoice accepts BACS and Cheque payments only.
LATE PAYMENT PENALTIES
Any non-payment of a recurring invoice may be subject to a discretionary administration charge of up to £25 for each week overdue.
CANCELLATION AND REFUNDS
SaneChoice reserves the right to cancel the Services at any time.
Customers may cancel their Services at any time with 30 days’ notice via email or written letter. Any incentives offered to customers when opening the account will also be cancelled. No refunds will be given. All other fees charged are non-refundable.
PUBLICITY
You agree that we may publicly disclose that we are providing Services to you and may use your name and logo to identify you as our customer in promotional materials, including press releases. We will not use your name or logo in a manner that suggests an endorsement or affiliation.
FORCE MAJEURE
Neither SaneChoice nor the Customer will be in breach of the Agreement if the failure to perform the obligation is due to an event beyond our control, such as significant failure of a part of the power grid, significant failure of the Internet, natural disaster, war, riot, insurrection, epidemic, strikes or other organised labour action, terrorism, or other events of a magnitude or type for which precautions are not generally taken in the industry.
INDEMNIFICATION
The customer agrees that it shall defend, indemnify, save and hold SaneChoice harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against SaneChoice, its agents, its customers, officers and employees, that may arise or result from any service/solution provided or performed or agreed to be performed or any product sold by customer, its agents, employees or assigns. The customer agrees to defend, indemnify and hold harmless SaneChoice against liabilities arising out of; (1) any injury to person or property caused by any products sold or otherwise distributed in connection with SaneChoice's Services and solutions; (2) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) any defective products sold to customer from SaneChoice's server.
DISCLAIMER
SaneChoice will not be responsible for any damages your business may suffer. SaneChoice makes no warranties of any kind, expressed or implied for Services we provide. SaneChoice disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by SaneChoice, its employees, suppliers, customers or any third party. SaneChoice reserves the right to revise its policies at any time.
